1. The agreement

These Terms govern your use of Mersal Legal OS (the “Service”), operated by Mersal Legal OS at https://mersal-os.vercel.app. By creating an account, accepting an invitation to a firm, connecting a mailbox, or otherwise using the Service, you agree to them. If you are agreeing on behalf of a law firm or company, you confirm you have authority to bind it, and “you” means that organisation.

Our Privacy Policy is part of this agreement and describes how we handle personal data, including data accessed through Google APIs.

2. What the service is

The Service is practice-management software for law firms. It provides records for clients and matters, document storage, tasks, hearings and deadlines, conflict checking, invoicing and payment records with sealed receipts, firm memos and notices, a client portal, device notifications, and an optional connected mailbox.

The Service is a tool, not a lawyer. It does not give legal advice and does not exercise professional judgement. Deadlines, limitation periods, conflict-check outcomes, calculations, invoices and reminders it produces are aids that you must verify. You remain solely responsible for your professional, ethical and regulatory obligations to your clients and to your bar or law society, including diarising deadlines by whatever independent means your rules require.

3. Accounts and firms

  • You must be at least 18 and legally able to enter into a contract. Accounts are for named individuals; do not share credentials.
  • Provide accurate registration details and keep them current. You are responsible for everything done under your account, and must tell us promptly at legalmersal@gmail.com if you suspect unauthorised access.
  • A firm workspace has roles with different powers. Partners and administrators can invite and remove members, approve matters, and see firm-wide financial records. The firm - not us - decides who holds which role and is responsible for those decisions.
  • When you invite a teammate or a client, you confirm you are entitled to give them access to the material they will be able to see.

4. Your data

Everything you put into the Service - client records, matter files, documents, correspondence, financial records - remains yours. We claim no ownership of it. You grant us only the limited licence needed to host, process, transmit, back up and display it so that we can operate the Service for you, and to do so through the providers listed in the Privacy Policy.

We understand that this material is likely to be confidential and, in many cases, privileged. We treat it as confidential, do not use it for our own purposes, do not sell it, and do not use it to train artificial-intelligence models. Access by our personnel is limited to what is needed to run and support the Service.

You are responsible for having a lawful basis to store the personal data you upload, for the accuracy of your records, and for meeting the retention duties that attach to a legal file.

5. Acceptable use

You agree not to:

  • Use the Service unlawfully, or to store or transmit unlawful material.
  • Upload material you have no right to store, or attempt to reach data belonging to another firm.
  • Probe, scan, circumvent or attempt to defeat authentication, access control or rate limits, or interfere with the Service’s operation or infrastructure.
  • Reverse engineer, decompile or copy the Service, except where that right cannot be excluded by law.
  • Resell, sublicense or offer the Service as a service to third parties without our written agreement.
  • Send bulk unsolicited email, or anything deceptive, harassing or fraudulent, through the Service’s email features.
  • Upload malware, or automate access in a way that degrades the Service for others.

We may suspend an account immediately where we reasonably believe this section has been breached or where continued use threatens the security of the Service or other users.

6. Connected mailboxes

Connecting a Gmail or Outlook mailbox is optional. If you connect one:

  • You confirm you are the account holder or are authorised by the account holder to connect it, and that connecting it does not breach any policy that applies to that mailbox.
  • You authorise us to read recent messages and to send messages you compose in the app, as described in section 4 of the Privacy Policy. We only ever send mail you have written and submitted yourself.
  • Your use of Gmail remains governed by Google’s own terms, and your use of Outlook by Microsoft’s. We are not responsible for those services, for their availability, or for changes they make to their APIs.
  • You may disconnect at any time in Settings, which deletes the stored tokens and the synced messages, and you may revoke our access from your Google or Microsoft account at any time.
  • Synchronisation is periodic and best-effort. It may lag, be incomplete, or be interrupted by provider rate limits or revoked permissions. Do not treat the in-app inbox as your system of record for anything time-critical.

7. Client portal and shared links

The Service lets you give a client portal access and lets you email an invoice that opens on a public link. Anyone holding such a link can view that single document without signing in - the link itself is the credential. It shows only the invoice it points to, and never other records. Share those links only with their intended recipient, and treat forwarding them as you would forwarding the document itself.

8. Outbound email

Invoices, invitations, notices and reminders are sent through a third-party delivery provider on your instruction. You are responsible for the content of what you send and for having a basis to contact the recipient. Delivery depends on networks and receiving mail servers outside our control; the Service reports a failure when it can detect one, but we do not guarantee delivery, timing, or that a message will not be filtered as spam.

9. Plans and fees

Where a plan carries a fee, the price, currency and billing period are those presented at sign-up or in your written order. Fees are payable in advance, are exclusive of taxes and duties (which you pay in addition where applicable), and are non-refundable except where the law requires otherwise. Subscriptions renew for successive periods unless cancelled before the renewal date. We will give at least 30 days’ notice by email before changing a price, and the change takes effect at your next renewal.

If a subscription is not paid when due, or is cancelled and reaches the end of its paid period, it lapses and access to the Service stops. Your firm's data is retained for 30 days after the lapse and is then deleted. During those 30 days you may keep your data, and export it, by taking the data-preservation plan at USD 5 per month; that plan preserves and exports the data only and gives no access to the working features of the Service. We tell you of these options in the lapse notice, before any deletion.

The invoicing and payment features inside the Service are for your billing of your clients; we are not a party to those arrangements and do not process, hold or transmit money for them.

10. Availability and changes

We aim to keep the Service available and to give notice of planned maintenance, but we do not commit to an uptime figure or guarantee uninterrupted or error-free operation unless we have agreed one with you in writing. We may add, change or remove features. If we discontinue a feature you materially rely on, or make a change that materially reduces the Service, we will give reasonable notice.

Keep your own copies of anything you cannot afford to lose. Export functions are provided for that purpose, and using them is your responsibility, not ours.

11. Third-party services

The Service depends on third parties, including our hosting, database, email-delivery and mailbox providers. Their outages, changes or restrictions can affect the Service. We are not liable for third-party services, and your use of them may be subject to their own terms.

12. Intellectual property

The Service, its software, design, documentation and trade marks belong to Mersal Legal OS and its licensors. Subject to these Terms and to payment of any applicable fees, we grant you a non-exclusive, non-transferable, revocable right to use the Service for your firm’s internal business during your subscription. No other rights are granted. If you send us feedback or suggestions, we may use them without obligation to you.

13. Term and termination

  • You may stop using the Service and close your account at any time.
  • We may suspend or terminate access if you materially breach these Terms and do not fix it within 14 days of notice, if you fail to pay, or immediately where required by law or where continued access poses a security or legal risk.
  • While your subscription is active you may export your data at any time. After termination or a lapse, your data is retained for 30 days and is then deleted in line with the Privacy Policy, keeping only what a legal obligation requires; during those 30 days it can be kept and exported through the data-preservation plan described in section 9.
  • Sections on your data, intellectual property, disclaimers, liability, indemnity and governing law survive termination.

14. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, secure, error-free, or that its outputs - including conflict-check results, deadline calculations, reminders and financial totals - will be accurate or complete. It is your responsibility to verify them. Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or loss of goodwill, however caused. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the fees you paid us in the 12 months before the event giving rise to the claim, or USD 100.

In particular, and without limiting the above, we are not liable for a missed deadline, limitation period, hearing or filing, for a conflict of interest that a check did not surface, or for a professional or regulatory consequence of relying on the Service instead of your own verification. These limits do not apply to either party’s liability for fraud, wilful misconduct, death or personal injury caused by negligence, or anything else that cannot lawfully be limited.

16. Indemnity

You will indemnify and hold us harmless against claims, damages and reasonable costs arising from your material you store or send through the Service, your breach of these Terms or of applicable law, or your infringement of a third party’s rights. We will notify you of any such claim and let you control its defence, provided any settlement releases us fully.

17. Governing law

These Terms are governed by the laws of the Republic of Lebanon, without regard to conflict-of-laws rules, and the competent courts of Beirut, Lebanon have exclusive jurisdiction over any dispute - except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information. Mandatory consumer-protection rights in your country of residence are unaffected.

If any provision is held unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor of our business.

18. Changes and contact

We may update these Terms. The effective date at the top reflects the current version, and we will give notice in the app or by email before a material change takes effect. Continuing to use the Service after that means you accept the updated Terms; if you do not, stop using the Service and close your account.
